Diginex Limited Announces Executive Management Transition and Submission of Listing Application to Nasdaq for the Change of Control

LONDON, Sept. 02, 2026 (GLOBE NEWSWIRE) — Diginex Limited (NASDAQ: DGNX) (“Diginex” or the “Company”), a leading provider of Sustainability RegTech solutions empowering businesses and governments with advanced ESG, climate, and supply chain data and reporting, today announced that Lubomila Jordanova decided to step down as Chief Executive Officer and from the Board of Directors, effective August 31, 2026. The Board of Directors has appointed Diginex’s Chief Impact Officer, Archana Kotecha, as interim Chief Executive Officer, effective immediately. Ms. Jordanova was appointed CEO of Diginex in January 2026, having previously founded and led Plan A.earth GmbH (“Plan A”), the European carbon accounting and decarbonization platform acquired by Diginex earlier that same month. Over the course of her tenure, Ms. Jordanova led the Company through the integration of three strategic acquisitions completed in fiscal year 2026 – Matter DK ApS (“Matter”), Plan A, and The Remedy Project Limited (“The Remedy Project”) – unifying previously separate teams and operational functions under a comprehensive Sustainability RegTech suite of solutions and products.

Under Ms. Jordanova’s leadership, the Company consolidated its reporting into three business segments Software Solutions, Advisory, and Data and began aligning the commercial strategies of the group under one integrated go-to-market approach.

Ms. Kotecha joined Diginex in January 2026 following the Company’s acquisition of The Remedy Project, the human rights remediation and supply chain due diligence advisory firm she founded in 2021 and was appointed Chief Impact Officer in May 2026 with a group-wide mandate to integrate the Diginex, Matter, Plan A and The Remedy Project offerings into unified commercial solutions. A barrister with nearly two decades of experience in human rights and supply chain due diligence, she previously served as Asia Region Director at Liberty Shared. She is a member of the European Commission’s Informal Expert Group on Forced Labour, and an Alternative Legal Expert to the United Nations Intergovernmental Working Group on Business and Human Rights and was recognized by the Financial Times as one of the ten most innovative lawyers in Asia-Pacific.

Diginex also announced that Jacob Friedman will be stepping down as Chief Operating Officer, and Gray Bridges will assume the role of interim Chief Technology Officer. Mr. Bridges brings more than eight years of technology leadership experience in Asia, including as Managing Director of Startech Limited, the dedicated technology partner of MoneyHero Limited, following technology research and development roles at Experian plc in London.

Diginex further informs that on August 27, 2026, the Company submitted a Listing Application to The Nasdaq Stock Market (“Nasdaq”) requesting Nasdaq’s approval of the change of control of Diginex that will result from the closing of the previously disclosed planned acquisition of Resulticks Global Companies Pte. Limited (“Resulticks”), pursuant to the sale and purchase agreement signed by and between Diginex and the equity holders of Resulticks on August 14, 2026.
